去年有一家在荷兰注册, 由印度出生的印度裔为最大股东的大钢铁公司, 叫米塔尔钢铁公司(Mittal Steel Co) , 只用3.16亿美元就买了中国湖南华菱管线公司的36.7%股份.
而今年 米塔尔钢铁, 准备用240亿美元收购欧洲的Arcelor公司, Arcelor公司 是在卢森堡注册(卢森堡/Luxembourg 位於德、法、比利时之间的小城国), 由西班牙的 Aceralia, 法国的Aceralia, 和卢森堡的Arbed, 三家公司合并而成的欧洲钢铁公司. 这个收购已遭 Arcelor 拒绝. 有趣的是之前西班牙, 法国, 和卢森堡的三家欧洲三国公司愿合并成一公司, 而这家合并成的欧洲公司, 却反对被一家在荷兰注册, 印度出生的印度裔拥有的公司收购. 米塔尔钢铁为收购辩护说: 收购是为了和中国竞争, 保护欧洲利益, 并保证收购后不裁员. 但Arcelor不听这一套, 还是拒绝了.
印度人米塔尔钢铁, 买欧洲的Arcelor是要保护欧洲利益, 和中国竞争. 同一印度人米塔尔钢铁公司, 收购中国湖南华菱管线, 它是要保护欧洲利益? 保护中国人的利益? 还是要保护印度人利益?
从最近的一些中国公司, 试图用高价收购米国公司, 如中油试图用180亿美元收购米国排第9的米国石油公司失败, 是被米国以国家安全理由阻拦. 而外国公司只用三几亿的平贱价就收购了很多中国制造业, 金融业等大公司的一半甚至大半股权来看, 中国的国家经济政策略是不是出了问题?
看新闻说米塔尔钢铁收购华菱管线已被中证监批准. 中国的"中证监"究竟是保护国内证券市场公平运作的监督机构, 还是有跨越管辖国际收购, 保护国家经济安全的权力?
看西方, 人家公司收购合并, 首先由公司股东同意. 当涉外国收购, 如是来非自我族类的国家的公司或是来自于友善国家地区注册, 但由非我族裔所拥有的公司时, 其本国传媒一定制造舆论, 以国家安全为由, 或其者他理由, 鼓动公司股东拒绝被外国收购. 如公司已经破产, 股东可能有奶并是娘, 根本不理会什么国家安全, 有好价就卖, 很可能会同意被外国公司收购. 若是公司是同意了, 但最后还要过国家商务部国家安全审核这一关. 其中有英国国藉,中国出生的香港李嘉诚试图收购已破产的米国环球遘通讯(MCI), 最后被米国商务部拒绝是一例.
而看外国公司收购中国公司, 收购之前的买卖讨论工作, 中国社会大众根本没人知道, 只由中国公司几个高层主管小圈子就可作决定, 当对外公布时, 买卖合约都已经签了. 当去到国家级的审核也是如此.

Mittal to acquire 36.7% stake in Chinese steel giant

The world's largest steelmaker, Mittal Steel Co. will buy 36.7 per cent stake for $316 million in China's Hunan Valin Steel Tube & Wire Co.
The Rotterdam-based Mittal would become Hunan Valin's second-biggest shareholder with a 36.7 per cent stake after the Chinese Commerce Ministry sanctioned the purchase, Hunan Valin, informed the Shenzhen Stock Exchange.
"The stake purchase provides Mittal with a platform to enter China and market products in the country, instead of exporting, which sometimes can promote trade barriers," said Wu Chunyong, an analyst with China Merchants Securities Co.
Mittal, which operates plants in 14 countries and employs 160,000 people worldwide, has been seeking acquisitions amid rising demand from China and India, Xinhua agency reported.
China plans to shut smaller steel producers and force mergers to create two companies each capable of making more than 30 million tonnes of steel a year by 2010, the government said July this year.
Hunan Valin's yuan-denominated A shares fell 3.55 per cent to 4.08 yuan on the Shenzhen exchange. They have dropped 11.59 per cent since January 12, when the company said it was in talks with Mittal.
'Mittal' was created last year through the merging its chairman's publicly-owned Ispat International NV and privately held LNM Holdings NV.
The company bought Cleveland, Ohio-based International Steel Group in April for $4.5 billion, overtaking Arcelor SA as the world's No 1 steelmaker.
Lakshmi Mittal, whose family owns 88 per cent of the company, currently owns assets capable of producing 70 million tonnes a year.

华菱管线(SZA 000932; SZ 125932)发布公告称, 米塔尔钢铁公司(Mittal Steel Co NV)因持有6.47亿股(占总股本的36.673%)华菱管线而应履行的要约收购义务已获中国证监会同意豁免。
公告称, 此次股权转让仍需国家商务部等部门批准。
公告并称, 华菱管线母公司华菱集团将以每股3.96元的价格向米塔尔钢铁公司出售6.47亿华菱管线股份。本次股份转让完成后, 米塔尔钢铁公司将成为华菱管线第二大股东; 华菱集团仍为第一大股东, 持有37.673%的股权。

Mittal says wants to defend Europe from China

BRUSSELS (Reuters) - Steel magnate Lakshmi Mittal wants to buy Arcelor to defend Europe from Chinese competition, he was quoted as saying on Friday.
Mittal Steel, the world's biggest steelmaker majority owned by the Indian-born billionaire, has made an unsolicited bid of some $24 billion for Arcelor.
The bid has been rejected by Arcelor.
"If we do not have a large European company, we will not be able to stand against producers (and) exporters such as China," Mittal was quoted as saying in an interview with Brussels weekly European Voice.
"What do you want out of this economic patriotism? A strong European company, a strong European champion. This is the merger of two European companies: no job cuts, better future, better product, more investment."
The deal has been criticised by some European politicians who fear job losses.
As a result, Mittal has been visiting politicians and journalists across Europe to try to win support for his bid, insisting that he held their best interests at heart.
"We have to defend, to protect our jobs, make the industry stronger," he said.
He reiterated that the acquisition of Luxembourg-based Arcelor by Mittal Steel - based in Rotterdam - would not lead to job cuts.
"We will honour all commitments that Arcelor made in terms of employees, growth, investment," he said. "I am also sure there will be no job cuts."
